Terms of Service
The agreement between you and MoonBase.
1. Agreement to Terms
By accessing or using MoonBase ("the Service"), operated by MoxieAI Ltd. ("Company", “we”, “us”, “our”), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users of the Service, including users on free plans and paid plans.
2. Beta and Early Access
THE SERVICE IS CURRENTLY IN BETA. You acknowledge that:
- The Service is provided as an early-access product and is not feature-complete
- The Service may contain bugs, errors, and instability
- Features may be added, changed, or removed at any time without notice
- Data, including your Projects and deployments, may be lost, deleted, or become unavailable due to bugs, infrastructure issues, maintenance, or any other reason
- Uptime, availability, and performance are not guaranteed during beta
- We may discontinue the beta program at any time
By using the Service during beta, you accept all risks associated with using pre-release software. We strongly recommend that you maintain independent backups of any Project files or content you upload to MoonBase. Do not rely on MoonBase as your sole copy of any data.
3. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. Account Registration
To access most features of the Service, you must register for an account. You agree to:
- Provide accurate and complete information when registering
- Keep your account credentials confidential
- Notify us immediately if you suspect unauthorized access to your account
- Be responsible for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that violate these Terms.
5. The Service
MoonBase provides hosting infrastructure for web projects ("Projects"). The Service includes:
- Hosting and serving your Projects via URLs provided by MoonBase or your own custom domains
- Automated analysis and compatibility processing of uploaded project files
- Deployment management, version history, and rollback functionality
- Environment variable management
The Service is provided on a best-efforts basis. We do not guarantee any specific feature availability, deployment success rate, or uptime level outside of any separately agreed service level agreement.
6. Acceptable Use
You may not use the Service to:
(a) Upload, host, or distribute content that:
- Violates any applicable law or regulation
- Infringes any third party’s intellectual property rights
- Contains malware, viruses, or malicious code
- Constitutes spam or unauthorized advertising
- Is fraudulent, deceptive, or misleading
- Harasses, threatens, or harms any person
- Contains child sexual abuse material or exploits minors in any way
(b) Engage in conduct that:
- Interferes with or disrupts the Service or its infrastructure
- Attempts to gain unauthorized access to any part of the Service
- Circumvents rate limits, quotas, or usage restrictions
- Reverse engineers, decompiles, or disassembles any part of the Service
- Uses the Service to mine cryptocurrency
(c) Resell or sublicense access to the Service without our express written permission.
We reserve the right to remove any content and suspend or terminate any account that violates these provisions, without notice or refund.
7. Content and Intellectual Property
Your content: You retain all intellectual property rights in the Projects and content you upload to MoonBase. By uploading content, you grant MoonBase a limited, non-exclusive license to host, serve, and process your content solely as necessary to provide the Service.
Your responsibility for your content: You are solely responsible for your Projects and all content you upload, host, or serve through MoonBase. We do not review, moderate, or verify your content. You represent and warrant that you have all rights necessary to upload and host your content, and that your content does not violate any applicable law or these Terms.
Our content: The MoonBase platform, including its software, design, and documentation, is owned by MoxieAI and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property.
AI-generated content: If your Project contains AI-generated content, you are solely responsible for ensuring that your use of such content complies with applicable laws and the terms of the AI tools you used. We make no representations about the intellectual property status of AI-generated content.
8. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
9. Fees and Payment
Free plan: The Service includes a free tier with specified limits, as described on our Pricing page.
Paid plans: Paid plans are billed in advance on a monthly or annual basis. By providing payment information, you authorize us to charge the applicable fees.
Changes to pricing: We may change our pricing at any time. We will provide at least 30 days' notice before price increases take effect for existing paid subscribers.
Refunds: Payments are non-refundable except where required by applicable law. If you cancel a paid plan, you will retain access through the end of your current billing period. No refunds are issued for partial periods.
Failed payments: If a payment fails, we will notify you and provide a 7-day grace period to update your payment information. If payment is not resolved, we may downgrade or suspend your account.
10. Service Availability
We aim to maintain high availability of the Service but do not guarantee any specific uptime percentage. The Service may be unavailable due to:
- Scheduled or emergency maintenance
- Infrastructure failures beyond our control
- Third-party service provider outages
- Bugs or software errors
- Force majeure events
We are not liable for any loss, damage, or inconvenience caused by Service unavailability. We recommend that you do not rely on MoonBase as your only hosting environment for business-critical applications during beta.
11. Data Loss
WE ARE NOT RESPONSIBLE FOR ANY LOSS OF DATA, INCLUDING YOUR PROJECTS, DEPLOYMENTS, ENVIRONMENT VARIABLES, CONFIGURATION, OR ANY OTHER CONTENT STORED ON MOONBASE. Data loss can occur due to bugs, infrastructure failures, accidental deletion, security incidents, or any other reason. You are solely responsible for maintaining backups of your data. We strongly recommend that you keep copies of all Projects and configurations outside of MoonBase at all times.
12. Termination
By you: You may terminate your account at any time from your account settings. Upon termination, your Projects will remain accessible for 30 days, after which they will be permanently deleted.
By us: We may suspend or terminate your account if:
- You violate these Terms
- We reasonably believe your account is being used for fraudulent or illegal activity
- We discontinue the Service (with at least 30 days' notice except in cases of legal requirement or emergency)
Upon termination, your right to use the Service ceases immediately. We are not liable for any damages resulting from termination.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WE DO NOT WARRANT THAT:
- THE SERVICE WILL MEET YOUR REQUIREMENTS
- THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS
- ANY ERRORS IN THE SERVICE WILL BE CORRECTED
- ANY DATA STORED ON THE SERVICE WILL BE PRESERVED OR SECURE
YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOONBASE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, OR BUSINESS
- LOSS OF DATA OR CONTENT
- LOSS OF GOODWILL
- COST OF SUBSTITUTE SERVICES
- ANY OTHER COMMERCIAL OR ECONOMIC LOSS
ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM, OR USD $50, WHICHEVER IS GREATER.
15. Indemnification
You agree to indemnify, defend, and hold harmless MoxieAI and its affiliates, officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your Projects and content
- Your violation of these Terms
- Your violation of any applicable law or any third party’s rights
- Any claim by a third party relating to content you host through MoonBase
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Israel, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
If you are a consumer in the EU, you may also be entitled to bring claims before the courts of your country of residence, and EU mandatory consumer protection laws may apply to the extent they cannot be excluded by agreement.
17. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 14 days before changes take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
18. Miscellaneous
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
- Waiver: Our failure to enforce any provision does not constitute a waiver.
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and MoonBase regarding the Service.
- Language: These Terms are provided in English. In the event of conflict between any translation and the English version, the English version prevails.
